Search Engine Optimisation (SEO) Plans

Terms and Conditions

In the following conditions of contract for the Search Engine Optimisation Plan “Promoworx” shall mean Origami Knights LTD. “The Client(s)” shall be those whose names appear on the agreement. Search Engine Optimisation shall mean “SEO”. If The Client(s) arrange for a third party to meet the costs of this agreement, the contract still remains with The Client(s). The due performance of the contract is subject to the conditions below. These conditions cannot be varied in anyway by The Client(s) unless such conditions are expressly agreed by Promoworx in writing. These Terms and Conditions may be changed by Promoworx by giving written notice.

1. Minimum Term and Payment:
   1. The minimum term for the SEO plans is six (6) months.
   2. After the initial six (6) months, the agreement will automatically renew on a month-to-month basis unless terminated by either party with a notice period of one (1) month email to info@promoworx.co.uk
   3. Payments will be charged by direct debit on the 1st of each month.
   4. A debit or credit card can be added as secondary payment method.
2. Early Cancellation: Should The Client(s) decide to cancel the SEO plan(s) before the minimum 6-month term is completed, The Client(s) will be required to pay the full contract amount for the remaining months.
3. Late or Failed Payments:
   1. In the event of late or failed payments, a £15 administration fee will be incurred for each occurrence. It is The Client(s) responsibility to ensure that payments are made promptly and successfully, see point 1.3.
   2. Promoworx will remind The Client(s) at least 1 day before the payment is charged.
4. Varied Results and Timeline:
   1. Both parties acknowledge that the effectiveness of SEO efforts is subject to various factors, including but not limited to:
      1. The competitiveness of the industry and target keywords.
      2. The existing online presence and structure of The Client(s) website.
      3. Changes in search engine algorithms and ranking criteria.
         
   2. Promoworx commits to employing best practices and industry standards to optimise The Client(s) website. However, specific results, rankings or immediate traffic increase cannot be guaranteed within a predefined timeframe.
   3. For new domains or websites, achieving desired rankings may take an extended duration due to the organic progression of SEO. Promoworx will work diligently to establish a solid foundation for long-term success.
   4. The Client(s) understands that SEO is an ongoing process and results may vary over time. Promoworx will provide regular reports and updates to keep The Client(s) informed about the progress and any necessary adjustments to the strategy.
   5. In the event of significant algorithmic changes or unforeseen challenges, both parties agree to collaborate on adapting the SEO strategy to maintain optimal performance.
   6. Content added by The Client(s) could have an adverse effect on SEO. 
5. Client Responsibilities:
   1. The Client(s) agrees to provide, in a timely manner:
      1. Any information or materials requested by Promoworx for the effective execution of the agreed-upon services.
      2. Access to relevant services such as Google Analytics, Google Search Console, and other necessary platforms that contribute to the SEO strategy.
   2. Delays in the provision of requested information may impact the timeline and effectiveness of SEO results.
   3. Monthly plan hours cannot be carried over to the following month(s).
6. Data Protection: The Client(s) is responsible for ensuring that their website complies with UK data protection laws, including the General Data Protection Regulation (GDPR). Promoworx can provide guidance and support in achieving compliance.
7. Termination: Promoworx may terminate this agreement with a one (1) month notice period.
8. Limitation of Liability:
   1. Promoworx shall not be liable for any indirect, consequential, or incidental damages arising out of or in connection with the services provided under this agreement.
   2. The total liability of Promoworx, whether in contract, tort, or otherwise, shall be limited to the total fees paid by The Client(s) during the six (6) months preceding the event giving rise to the liability.
9. Indemnification: The Client(s) agrees to indemnify and hold Promoworx harmless from any claims, damages, or liabilities arising out of The Client(s) use of the SEO services, including but not limited to any third-party claims.
10. Force Majeure: Neither party shall be liable for any failure or delay in performing their obligations under this agreement if such failure or delay is due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, natural disasters, or other force majeure events.
11. Confidentiality:
    1. Both parties commit to maintaining the confidentiality of any proprietary or sensitive information disclosed during the agreement.
    2. Promoworx has the permission to share any stats.
    3. The Client(s) grants Promoworx permission to share statistical data related to the SEO performance of the Client(s) website for promotional and illustrative purposes.
12. Invalidity of other terms: Unless expressly agreed to in writing, no other terms (including those contained on any purchase order supplied by The CLient(s)) nor any representation will form part of any contract between Promoworx and The Client(s) and these terms and conditions will, in absence of any written agreement between Promoworx and The Client(s) stating otherwise, represent the entirety of the terms of such contract.
13. Jurisdiction: These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the English courts.
